These Terms govern your use of the CLT Startup House website, your application for membership, and your attendance at our events. The plain-English version, with the legal-y bits where they need to be.
By using this website, applying for membership, attending an event at the house, or subscribing to our newsletter, you agree to these Terms. The relationship is friendly and the spirit is collaborative. This document just makes it clear what's what.
The CLT Startup House is a partnership between two companies, each with a clear lane:
Each company is responsible for its own activities. These Terms govern your relationship with the website and the brand (StealthX). Paid membership in the Space is governed by a separate written agreement with D&D Group, LLC (see Section 3 below).

These Terms do not govern paid membership terms, billing, security deposits, day-to-day use of the Space, or member-specific obligations. Those live in your signed Collaborative Space Membership Agreement with D&D Group, LLC.
You apply for membership through our website. Submitting an application:
If you're accepted, you'll be sent a Collaborative Space Membership Agreement to review and sign with D&D Group, LLC. That signed agreement (not these Terms or any pricing shown on the website) governs your paid membership, including monthly fees, security deposit, payment terms, late fees, termination, and member-specific liability.
Pricing displayed on the website is informational. The Membership Agreement controls. Day passes, when offered, will operate under their own terms communicated at the time of purchase.
By using the website, you agree to:
We host public, community, and partner events at 1717 Cleveland Avenue. By attending:
We take photos and video at the Space and at our events for marketing, social media, press, and community archives. By being on the premises or at our events, you grant a non-exclusive, perpetual, royalty-free license to StealthX, LLC and D&D Group, LLC to use your image, voice, and likeness in those materials.
If you'd prefer not to be photographed or recorded, tell the staff member running the event before it starts and we will keep you out of frame to the best of our ability. To request removal of a specific photo or clip already published, email hi@cltstartuphouse.com; we will honor reasonable requests.
By applying, subscribing, or contacting us, you consent to receive operational and community email from us (welcome notes, application updates, event invitations, newsletter, transactional notices). You may unsubscribe from non-operational mail at any time using the link in any email.
We use third-party services to run things: Beehiiv (newsletter), Typeform (applications), Resend (transactional email), Stripe (payments, when they apply), and Google Maps (the embed on /contact.html). Each has its own privacy practices. Our overall privacy disclosures are in our Privacy Policy.
We do not sell your contact information. We don't share it with third parties for marketing purposes.
The website content (copy, photography, illustration, design, code) is owned by StealthX, LLC. The CLT Startup House name and logo are owned by StealthX, LLC. The "Gryffin" mark and design elements are owned by StealthX, LLC. You may reference being a member or applicant in your own materials. You may not use our marks to imply endorsement, partnership, or investment from us without written permission.
Content you submit (a question through the contact form, an application response, a comment in an event chat) is yours. You grant us a license to use it for the purpose of responding and operating the community. We don't claim ownership.
So applicants understand what they're walking into:
This section is informational. Members' rights and obligations are governed by the signed Membership Agreement with D&D Group, LLC.
To be clear:
To the maximum extent permitted by law, StealthX, LLC, D&D Group, LLC, the CLT Startup House, and our respective officers, employees, contractors, and affiliated parties shall not be liable to any website user, applicant, event attendee, or newsletter subscriber for any indirect, incidental, special, consequential, or punitive damages arising from website use, application submission, event attendance, or community communications. Our aggregate liability for any direct claim arising from these Terms shall not exceed one hundred dollars ($100) or the amount you paid us in the twelve months preceding the claim, whichever is greater.
This cap applies to website-related and event-related claims. Claims arising from paid membership are governed by the liability provisions in the signed Membership Agreement, which has its own (separate) cap.
You agree to indemnify and hold harmless StealthX, LLC, D&D Group, LLC, the CLT Startup House, and our respective officers, employees, contractors, and affiliated parties from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the website, your application, your attendance at events, your conduct on the premises, or your violation of these Terms.
Neither StealthX, LLC nor D&D Group, LLC is liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, severe weather, public health emergencies, government action, building unavailability, or labor unrest.
We may update these Terms at any time. Material changes will be communicated via email to applicants, members, and newsletter subscribers at least 30 days before they take effect. Continued use of the website after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law provisions. We will try to resolve any dispute informally first. Email drew@stealthx.co and we will respond within ten business days. If informal resolution doesn't work, the dispute shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to personal jurisdiction there.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
